, 2016 以合法形式掩盖非法目的的法律行为是我国现行立法特有的无效法律行为类型。文章通过归纳司法实践的常见行为进行概念界定，剖析此种法律行为的构成要件，围绕行为性质和《合同法》的有关条款展开效力解读，检讨《合同法》第52条第3项以及我国无效法律行为制度立法与适用的不足之处，借鉴域外的有关制度与做法，提出可行的修法建议。 本文除绪论和结语外，正文包括四章。 第一章概述以合法形式掩盖非法目的的法律行为。通过案例引入，提出文章研究的主要问题，选取“黑白合同”、VIE协议和其他以合法形式掩盖非法目的的法律行为进行概念界定。
